WHISTLEBLOWER POLICY

Whistleblower policy is an act of a personnel, contractor, business partner, and other third parties reporting concerns about Improper Conduct or Detrimental Actions within the Company. This is done through established channels of the Genting Simon Group in Indonesia consisting of PT Nusantara Management Indonesia and PT Pembangunan Property Nusantara (“Company”), either within the Company or to an enforcement agency. All Personnel (commissionaires, directors, and employees) and third parties are encouraged to report suspected bribery and other unethical behavior.

The purpose of the whistleblower policy is to provide a consistent, systematic, corporate-wide process for managing any suspected Detrimental Action and Improper Conduct. Proper management and handling of complaints or reports are expected to uphold the principles of Good Corporate Governance, create a workplace free from bribery and corruption practices, enhance efforts towards ethical behaviour in managing and operating the Company, and promote the development of a respectful workplace. This ensures that business activities are conducted in a professional manner.

Detrimental Action is defined as follows:

Any reprisal action against a Whistleblower which shall include:

  1. Action causing injury, loss or damage;
  2. Intimidation or harassment; interference with the lawful employment or livelihood of the Whistleblower;
  3. Discrimination, discharge, suspension, disadvantage, termination, adverse treatment in relation to the Whistleblower’s employment or the taking of disciplinary action; and
  4. A threat to take any of the above actions.
Improper Conduct defined as follows:
  1. Any unethical behaviour, malpractices, illegal acts or any other wrongful or improper conduct within the Company, constitutes a disciplinary offence or a criminal offence, including bribery, corruption, fraud, conflicts of interest, abuse of power, and violations of company policies, and any actions that undermine the integrity of the Company; and
  2. Any behavior that violates legal standards, Company policies, or ethical norms, potentially harming the Company’s reputation or operations.

Your rights

You have the right to review, change or request deletion or limitation of our processing of your personal information by contacting us via the contact information provided below. To the extent permitted by law, we may reject your request and will provide a reason for such rejection.

You may submit your complaint or report in one of the following ways:
  1. By completing Form A (Complaint) or Form B (Report); or
  2. By sending an email to a designated email; or;
  3. By submitting verbal/written complaint through Company’s Whistleblowing channels.

Upon completion of the investigation by the Company’s Whistleblower Committee, the Whistleblower will be informed of the follow-up actions taken regarding the submitted complaint or report.

The Company shall ensure that all confidential information in respect of the Whistleblower obtained in connection with the complaint or report and the ensuing investigation will not be disclosed to any third party without the prior consent of the Whistleblower, save to the extent permitted by law or required for purposes of making a report to the relevant authorities.
